Terms of Service

1. Introduction

These Terms of Service ("Terms") govern the use of the services provided by North Code Labs ("North Code Labs", "we", "us", or "our"). By engaging North Code Labs for any service, approving a proposal, signing an agreement, making a payment, or otherwise instructing us to begin work, you ("Client", "you", or "your") agree to these Terms.

These Terms apply together with any project proposal, statement of work, quotation, invoice, order form, service agreement, specification, or other written agreement issued or approved by North Code Labs (collectively, the "Project Agreement").

If there is a conflict between these Terms and a specific written Project Agreement, the terms of the Project Agreement will generally control to the extent of that conflict.

2. About North Code Labs

North Code Labs is a software development and technology agency providing digital product and technology services to businesses, startups, founders, and organizations.

Our services may include, without limitation:

  • Website design and development
  • Web application development
  • Mobile application development
  • SaaS product development
  • MVP and startup product development
  • Custom software development
  • AI integration and AI-powered applications
  • AI agents and voice assistants
  • Business process automation
  • API and third-party service integrations
  • UI/UX design and implementation
  • Technical consulting and architecture
  • Maintenance, support, and ongoing development

The exact services provided for a particular Client will be determined by the applicable Project Agreement.

3. Proposals, Scope and Project Requirements

Before beginning a project, North Code Labs may provide the Client with a proposal, quotation, scope of work, estimate, or other project documentation describing the expected deliverables, timeline, pricing, and assumptions.

Only the deliverables expressly included in the agreed scope are included in the project fee. Requests outside the agreed scope may be treated as additional work and may result in additional fees and/or changes to the project timeline.

Project estimates and timelines are based on the information available to North Code Labs at the time the estimate is prepared. Significant changes in requirements, delays in Client approvals, third-party dependencies, technical discoveries, or other circumstances outside our reasonable control may require adjustments to the timeline or project cost.

4. Client Responsibilities

The Client agrees to provide timely and accurate information, materials, credentials, approvals, feedback, and other cooperation reasonably required for the completion of the project.

The Client is responsible for:

  • Providing accurate project requirements and business information.
  • Providing content, branding assets, images, copy, data, and other materials where required.
  • Ensuring that materials supplied to North Code Labs may lawfully be used for the project.
  • Reviewing deliverables and providing reasonably timely feedback.
  • Providing access to relevant third-party platforms, hosting, APIs, domains, analytics accounts, or other services when required.
  • Making payments according to the agreed payment schedule.

Delays caused by missing information, delayed approvals, unavailable credentials, or other Client dependencies may extend the project timeline.

5. Fees and Payment

Project fees are specified in the applicable proposal, quotation, invoice, or Project Agreement.

Unless otherwise agreed in writing, North Code Labs may require an advance payment or deposit before commencing development. Remaining payments may be structured around project milestones, deliverables, or other agreed stages.

Work may be paused or suspended if an invoice remains unpaid beyond the applicable payment deadline. Any resulting delay may affect the project schedule.

Unless otherwise stated in writing, fees paid for completed work, reserved development capacity, third-party purchases, or approved project expenses are non-refundable.

Taxes, government charges, payment-processing fees, hosting charges, software subscriptions, domain registration fees, third-party API charges, and other external costs are not included unless expressly stated in the Project Agreement.

6. Change Requests and Additional Work

The Client may request changes during development. Changes that materially alter the agreed scope, functionality, design, architecture, integrations, or deliverables may be treated as additional work.

Additional work may require a revised estimate, additional fee, and/or revised delivery timeline. North Code Labs is not obligated to begin substantial out-of-scope work until the additional work has been approved.

Minor revisions included within the agreed scope will be handled according to the applicable Project Agreement.

7. Project Timelines and Delivery

North Code Labs will make reasonable efforts to meet agreed project timelines. Unless expressly guaranteed in writing, delivery dates are estimates rather than absolute guarantees.

Timelines may be affected by Client delays, changes in requirements, third-party services, hosting providers, app-store approvals, payment-provider approvals, API limitations, security requirements, technical issues, or events outside our reasonable control.

A project will generally be considered ready for delivery when the agreed deliverables have been completed and made available for Client review or deployment.

8. Client Review and Acceptance

The Client is responsible for reviewing deliverables within a reasonable period after they are provided.

If the Client identifies a material issue that falls within the agreed scope, North Code Labs will make reasonable efforts to correct the issue.

Requests that constitute new functionality, new requirements, significant redesigns, or changes to previously approved work may be treated as additional work rather than defects.

9. Intellectual Property

Subject to full payment of all amounts due under the applicable Project Agreement, ownership of custom project-specific deliverables created specifically for the Client will transfer to the Client to the extent agreed in the Project Agreement.

North Code Labs retains ownership of its pre-existing intellectual property, reusable code, libraries, frameworks, development methodologies, templates, tools, know-how, components, utilities, and general-purpose technology.

Third-party software, open-source software, APIs, fonts, images, plugins, frameworks, SDKs, and other third-party materials remain subject to their respective licenses and terms.

Unless otherwise agreed in writing, transfer of project deliverables does not transfer ownership of third-party technology incorporated into the project.

10. Third-Party Services

Projects may depend on third-party services including, but not limited to, cloud hosting providers, payment processors, authentication providers, AI providers, communication services, analytics platforms, app stores, domain registrars, databases, and external APIs.

North Code Labs is not responsible for outages, policy changes, pricing changes, API changes, account suspensions, service discontinuation, rate limits, security incidents, or other failures caused by third-party providers.

The Client is responsible for maintaining third-party accounts and paying third-party subscription or usage fees unless otherwise agreed in writing.

11. AI Services and Third-Party Models

Certain projects may use artificial intelligence models, platforms, APIs, voice services, or other machine-learning technologies provided by third parties.

AI-generated outputs may occasionally be inaccurate, incomplete, inconsistent, or unpredictable. Unless expressly agreed otherwise, North Code Labs does not guarantee that AI-generated outputs will always be accurate or suitable for a particular purpose.

The Client remains responsible for reviewing and approving business-critical AI outputs before relying on them.

Where a project involves collecting or storing information from end users, the Client is responsible for ensuring that its use of such information complies with applicable privacy and data protection requirements, subject to the responsibilities expressly assigned to North Code Labs in the applicable agreement.

12. Data and Security

North Code Labs will use reasonable technical and organizational measures appropriate to the nature of the services to protect information provided to us.

However, no internet-connected system, software application, hosting environment, or electronic transmission can be guaranteed to be completely secure.

The Client is responsible for maintaining appropriate access controls, credentials, account security, and administrative permissions for systems under the Client's control.

13. Confidentiality

Each party agrees to keep confidential information received from the other party confidential and to use such information only for purposes connected with the project or business relationship.

Confidential information does not include information that is publicly available, independently developed without use of the other party's confidential information, lawfully received from a third party without confidentiality obligations, or required to be disclosed by law.

Where required, the parties may enter into a separate Non-Disclosure Agreement ("NDA"), which will govern confidentiality matters to the extent of any conflict with these Terms.

14. Hosting, Domains and Deployment

Unless expressly included in the Project Agreement, domain registration, hosting, cloud infrastructure, email services, SSL certificates, paid APIs, software licenses, app-store fees, and other infrastructure costs are the Client's responsibility.

North Code Labs may assist with deployment and configuration as part of the agreed scope. Ongoing infrastructure management, maintenance, monitoring, and support require a separate agreement unless otherwise specified.

15. Maintenance and Support

Unless ongoing maintenance or support is expressly included in the Project Agreement, development fees do not automatically include indefinite maintenance or support.

Maintenance may include bug fixes, security updates, dependency updates, performance improvements, content changes, monitoring, feature additions, or other technical work depending on the applicable support plan.

New features and material changes are generally treated as new development work and may be separately charged.

16. Warranties

North Code Labs warrants that services will be performed in a professional and workmanlike manner consistent with generally accepted industry practices.

Any specific warranty period, bug-fix period, revision policy, or support commitment will be stated in the applicable Project Agreement.

Except where expressly stated in writing, North Code Labs does not guarantee uninterrupted operation, specific business outcomes, revenue increases, customer acquisition numbers, search-engine rankings, advertising performance, or other commercial results.

17. Business Results

North Code Labs provides technology and development services. We do not guarantee that a website, application, software product, AI system, automation, or other deliverable will generate a particular amount of revenue, leads, sales, traffic, customers, rankings, or return on investment.

Business results depend on numerous factors outside our control, including market conditions, pricing, competition, advertising, sales processes, customer demand, business operations, and the Client's execution.

18. Limitation of Liability

To the maximum extent permitted by applicable law, North Code Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings.

To the maximum extent permitted by applicable law, the total aggregate liability of North Code Labs arising out of or relating to a particular project will not exceed the total amount actually paid to North Code Labs by the Client for that project during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

19. Indemnification

To the extent permitted by applicable law, the Client agrees to indemnify and hold harmless North Code Labs from claims, liabilities, damages, losses, and reasonable expenses arising from materials, content, data, instructions, products, or business activities supplied or directed by the Client that infringe third-party rights or violate applicable law.

20. Termination

Either party may request termination of a project in accordance with the applicable Project Agreement.

If a project is terminated after work has commenced, the Client remains responsible for payment for work completed, approved expenses, third-party costs, and other non-cancellable commitments incurred up to the effective date of termination.

North Code Labs may suspend or terminate services if the Client materially breaches these Terms, fails to make required payments, repeatedly fails to provide necessary cooperation, or engages in unlawful or abusive conduct.

21. Suspension of Services

North Code Labs may temporarily suspend work where necessary due to overdue payments, missing Client information, security concerns, third-party service failures, technical restrictions, or circumstances beyond our reasonable control.

A suspension caused by Client actions or inaction may result in revised delivery timelines and additional costs where applicable.

22. Force Majeure

North Code Labs will not be responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, internet or infrastructure failures, cyber incidents, government actions, regulatory changes, war, civil unrest, pandemics, strikes, power failures, third-party outages, or other similar events.

23. Portfolio and Marketing

Unless the Client has requested confidentiality or the applicable Project Agreement states otherwise, North Code Labs may identify the Client and display non-confidential project information, screenshots, or descriptions of completed work in its portfolio, website, presentations, or marketing materials.

Confidential projects, NDA-protected work, or projects where the Client has expressly requested non-disclosure will not be publicly disclosed without appropriate permission.

24. Acceptable Use

The Client must not use services provided by North Code Labs to develop, distribute, operate, or facilitate unlawful activities, fraud, malicious software, unauthorized access, harassment, infringement of intellectual property rights, or other activities prohibited by applicable law.

North Code Labs reserves the right to refuse or discontinue work where a project presents material legal, ethical, security, or operational concerns.

25. Independent Contractor

North Code Labs acts as an independent contractor and not as an employee, partner, joint venture, agent, or legal representative of the Client unless expressly agreed otherwise in writing.

26. Communications

Project communications may take place through email, messaging applications, project-management platforms, meetings, or other communication channels agreed between the parties.

Written approvals, confirmations, scope decisions, and instructions communicated through agreed project channels may be relied upon by North Code Labs when carrying out the project.

27. Privacy

Information collected through our website, inquiry forms, or business relationship may be handled in accordance with our Privacy Policy.

Clients are responsible for obtaining any legally required notices, consents, and permissions from their own customers or users when operating software or applications developed by North Code Labs.

28. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to the services provided by North Code Labs will be governed by the laws applicable in India, unless otherwise required by applicable law or expressly agreed in a written Project Agreement.

Subject to applicable law, disputes will be subject to the jurisdiction of the courts having appropriate jurisdiction over the place of business of North Code Labs.

29. Dispute Resolution

The parties agree to first attempt to resolve any dispute through good-faith communication and reasonable negotiation before initiating formal legal proceedings.

Nothing in this section prevents either party from seeking urgent legal or equitable relief where such relief is reasonably necessary to protect its rights.

30. No Waiver

Failure by either party to enforce any provision of these Terms does not constitute a waiver of that provision or the right to enforce it later.

31. Severability

If any provision of these Terms is found to be invalid, unenforceable, or unlawful, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full effect.

32. Entire Agreement

These Terms together with the applicable Project Agreement, proposal, statement of work, and other expressly incorporated documents constitute the agreement between North Code Labs and the Client concerning the applicable services.

33. Changes to These Terms

North Code Labs may update these Terms from time to time. Updated Terms will be published on this page with a revised "Last updated" date.

Changes will generally apply to future projects and engagements. The Terms applicable to an existing project will remain subject to the version incorporated into that project's agreement unless otherwise agreed in writing.
